Welcome to Zynteq. By accessing our website, communicating with our team, or engaging us to build custom AI automation solutions (collectively, the "Services"), you agree to be bound by the following Terms of Service ("Terms"). Please read these Terms carefully before utilizing our Services.

1. Scope of Services

Zynteq specializes in the design, development, and deployment of artificial intelligence workflows, including but not limited to WhatsApp chatbots, voice agents, and internal operational automations. The exact scope, timeline, and deliverables for any custom project will be defined in a separate, mutually agreed-upon Statement of Work (SOW) or project quotation.

2. Client Obligations and Acceptable Use

As a client, you agree to:

• Provide timely, accurate, and complete information necessary for the development of your AI solutions.
• Use the deployed AI agents strictly for lawful business purposes.
• Not use the Services to generate, distribute, or promote spam, illegal content, malware, or discriminatory material.
• Comply with the terms of service of any third-party platforms utilized in your workflow (e.g., WhatsApp Business API guidelines).

3. Intellectual Property Rights

Unless explicitly transferred in writing within your SOW:

• Your Data: You retain full ownership of all proprietary business data, customer lists, and documents you provide to train the AI systems.
• Zynteq's IP: We retain ownership of the foundational codebase, underlying automation architectures (e.g., n8n blueprints), and proprietary methodologies used to deliver the Services.
• The Deliverables: You are granted a non-exclusive, non-transferable, perpetual license to use the final deployed AI agents and workflows for your internal business operations.

4. Payments and Subscriptions

Payment terms, including upfront deployment costs and ongoing monthly retainers (for cloud hosting, LLM token usage, and maintenance), will be outlined in your custom quote. Failure to pay ongoing maintenance fees may result in the suspension of active AI agents until the account is brought current.

5. Disclaimers and Limitations of Liability

AI Hallucinations: While we implement strict guardrails and prompt engineering techniques, generative AI models can occasionally produce inaccurate, misleading, or unexpected outputs ("hallucinations"). You acknowledge this inherent limitation and agree that Zynteq is not liable for business losses, damages, or reputational harm resulting from such AI outputs. It is your responsibility to review critical AI communications and maintain appropriate oversight.

Limitation of Liability: To the maximum extent permitted by law, Zynteq's total liability for any claim arising out of these Terms or the Services shall not exceed the total amount paid by you to Zynteq in the three (3) months preceding the event giving rise to the liability.

6. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat.
